Sasha Ablovatskiy
Sasha is a partner of Foley Shechter LLP. Sasha began his legal career as a corporate and securities associate at a well-known Wall Street based boutique law firm. He then practiced at Kaye Scholer, a large international New York based law firm with offices in Los Angeles, Germany, London and Shanghai, where he was the sole senior associate in the firm’s securities practice.
Sasha brings over 10 years of extensive experience to FS and focuses on counseling public and private companies on offerings of equity and debt securities, strategic investments, acquisitions and joint ventures, IPOs, reverse mergers and alternative public offerings, venture capital investments, public company reporting obligations, corporate governance matters, Sarbanes-Oxley compliance and other general corporate law matters. Sasha also works closely with startups on their capital raising needs, structure and formation, contractual matters and various other startup and commercial matters.
Sasha’s experience in structuring and closing offerings, corporate finance and M&A transactions, including the legal, founder and business aspects related to such transactions, are enhanced by his know-how of having founded several startups himself and working with a vast array of management teams and boards of directors.
Sasha actively participates in the New York startup and venture capital community and specifically, in the tech, bio-tech and crowdfunding space. Sasha also serves on the board of a real estate crowdfunding startup and is an angel investor.

Tom Foley
Tom Foley practiced law for nearly two decades. After co-founding Foley Shechter LLP, Tom moved on to pursue other passions.
Tom is a strong advocate that principles must lead business decisions and that education is key to success – it is imperative to continually innovate our educational model. With that, Tom has most recently spearheaded the development of TheStudy based in Irving, Texas, a collaborative environment for continued innovation.

Jonathan R. Shechter
Jonathan is a founding partner of Foley Shechter LLP. Previously, Jonathan was a corporate and securities attorney with a Wall Street based law firm, as well as the Head of the Corporate Finance group of a New York firm with affiliate offices in Tel Aviv, Israel and Shanghai, China, where he was principally engaged in the practice of corporate and securities law.
Jonathan brings extensive experience in structuring and closing corporate finance and M&A transactions, including the legal and practical business aspects related to such transactions, having worked with a vast array of management teams and boards of directors.
Jonathan focuses on representing clients in a wide variety of general corporate and finance transactions, with a concentration on secured and unsecured private equity financing transactions as well as registration statements associated with these financings, public offerings, joint ventures, employment and shareholder agreements, as well as with the formation of private equity funds. Jonathan also represents publicly held companies with their 1934 Act reporting obligations and in the representation of broker-dealers and registered individuals in a wide array of matters, including ongoing compliance and regulatory inquiries.
Jonathan also serves as an Advisory Board Member to Beyond the Boroughs, a non-profit organization that creates deserved college scholarship opportunities for students, with a primary focus on first generation collegians.

Teaching and Public Speaking: Jonathan is an adjunct professor at Fairleigh Dickinson University (FDU) where he teaches Business Law. Jonathan also regularly participate in conference panels and seminars (including interviews at the NYSE and NASDAQ MarketSite) surrounding various corporate finance, M&A and other regulatory matters, both in the U.S. and internationally. Jonathan is also a guest lecturer at Rutgers University in conjunction with the University’s entrepreneurship course.
Steven W. Heller
With degrees in both law and accounting, and a wealth of business experience, Steven Heller has built a reputation for assisting corporate clients in all aspects of business development, including contracts, mergers and acquisitions and development of brands and intellectual property.
Over the past 20+ years, Steven has enjoyed a successful career working with both established companies and start-up ventures in development stage activities including licensing, franchising, international distribution, strategic partnerships and joint ventures and creation of strong intellectual property portfolios. Throughout his career, Steven has been active in all aspects of intellectual property, including the international development, licensing and enforcement of various brands and properties, including creating The Brand Liaison, a boutique international licensing agency. He has also assisted his clients in structuring corporate transactions, reverse mergers, acquisitions and establishing unique financing structures in order to facilitate rapid growth and development.
Steven is a public speaker and a professor of business and law at both the graduate and undergraduate level, including over 10 years as an adjunct professor of business law courses in the MBA program at Nova Southeastern University. He has conducted seminars and lectures on business and law topics such as trademarks and licensing, franchising, social responsibility, corporate compliance and international business transactions.
Steven graduated cum laude in the top 5% of his class at Fordham Law School, 1991 and graduated SUNY Albany in 1987 with a dual major in Accounting and Business Administration. Steven is a licensed attorney and member of the bar of the State of New York.

Arthur Lee

Arthur Lee
Arthur is counsel at Foley Shechter Ablovatskiy LLP. He represents both public and privately held companies in a broad range of corporate and securities matters, including securities offerings and 1934 Act reporting obligations. Prior to joining FSA, Arthur began his legal career as a corporate and securities associate at a Wall Street based boutique law firm. He also worked as an Anti-Money Laundering specialist in Citigroup's Financial Investigations Unit.
Arthur received his Juris Doctorate from Fordham University School of Law. He received a B.S. in Biochemical Engineering and a B.A. in English from Rutgers University. He is admitted to practice law in the State of New York.

David Boag
David is Of Counsel to Foley Shechter Ablovatskiy LLP, where he enjoys helping clients with complex and challenging intellectual property issues. A former software developer, David can bridge law and technology, delivering exceptional value to our high-tech clients. He has a wide range of experience representing clients in federal court and before the U.S. Patent and Trademark Office, including the Patent Trial and Appeal Board and Trademark Trial and Appeal Board.
David counsels everyone from publicly listed companies to startups and entrepreneurs on early-stage IP protection, helping them protect their innovations and develop their brands through strategic patent and trademark prosecution. He conducts pre-launch clearance studies to help avoid infringement allegations and conducts corporate IP due diligence and avoid running into infringement traps.
David has experience in fields as diverse as cryptocurrency and NFTs, cannabis and CBD, software, mobile apps, food and beverage, fashion, book publishing, non-profits, and consumer electronics.
David has spoken frequently in the areas of intellectual property issues in the cannabis and cryptocurrency industries. He has been involved with the New York City Bar Association Patents Committee where he chaired the CLE Subcommittee. He is also active in the small law firm practice development community.
David started his career at a highly regarded NYC IP firm gaining experience in high-stakes patent litigation, international patent enforcement and portfolio management, and trademark prosecution and brand protection.
Besides being an attorney and small business owner, David has interned in the Washington bureau of a major newspaper, delivered pizza, and clerked for a state court judge. In his time away from the firm, David can be found hiking in NYS’s Adirondack Mountains, listening to thrash metal, cooking, and spending time with his family.
