Laylo
Two strategic investment rounds totaling more than $8 million, led by Eldridge
- Securities law
- Startup & venture financing
- Corporate law

Overview
Foley Shechter Ablovatskiy LLP ("FSA") represented Laylo in two successive strategic private investment rounds totaling more than $8 million, both led by Eldridge Industries.
The rounds closed in July 2021 and October 2022 and were led by Eldridge Industries, co-founded by Todd Boehly — also widely known as a part owner of the Los Angeles Dodgers and Chelsea F.C. Eldridge's investments span sports, entertainment, and media.
The two rounds brought Laylo's total capital raised to more than $8 million and attracted a blue-chip roster of strategic investors from the entertainment, sports, technology, music, and venture capital sectors. Both transactions were structured as private placement venture capital rounds, enabling Laylo to rapidly scale its creator economy platform without the burden of a public offering.

Complexity & challenges
Across both transactions, FSA provided comprehensive corporate and securities law counsel to Laylo, including:
- [01]
Structuring each investment round as a private placement under applicable securities laws, including advising on exemptions, investor qualification, and offering mechanics.
- [02]
Drafting and negotiating all transaction documentation, including subscription agreements, term sheets, investor rights agreements, and related governance instruments.
- [03]
Advising on capitalization table management, equity structure, and the terms of each successive round to protect founder and company interests.
- [04]
Counseling on the strategic and legal considerations of building a syndicate of high-profile investors with varying commercial relationships to Laylo's platform and industry partners.
- [05]
Providing ongoing general corporate counsel as Laylo scaled its operations, expanded its team, and built out its commercial partnership network.
Result
Strategic growth fueled by $8M+ in venture funding.
Through two successful strategic investment rounds, Laylo raised more than $8 million in total capital from one of the most distinguished and strategically aligned investor syndicates in the creator economy space.
Eldridge's repeated leadership of both rounds reflected sustained conviction in Laylo's platform and team. The company used the capital to grow its platform, expand its team, enter new verticals, and launch new product features, cementing its position as the definitive Creator CRM for the modern digital entertainment economy.
